Basic qualifications: 

• You must be a qualified solicitor or barrister (non-practising) or Chartered Secretary ACIS (Associate of Institute of Chartered Secretaries) with some in–house experience.  
• You must have transactions experience 
• You must have working knowledge and understanding of the UKLA (Listing Authority Listing) rules. 
• You must have an understanding of accounting practice and tax law gained whilst training and in previous roles.
• You must have knowledge and understanding of the operation and administration of a global organisation.
• You must  have previous experience of leading or working in cross functional project teams e.g. a re-organisation.
• You must have previous experience dealing with an entity listed on NYSE is desirable.
• You must have proven time management skills.
• You must have good communication skills.
• You must have proven influencing skills.
• You must be customer service orientated.
• You must be team orientated.
• You must have good attention to detail
• You must be IT literate

WHAT IS THE PURPOSE OF THIS ROLE?
• Contribute to the execution of Corporate Treasury, Global Tax, Corporate Development and Corporate Finance projects, assisting the Assistant Company Secretary, Special Operations. Independently discharge assigned professional Corporate Secretariat responsibilities. 

• Provides professional secretarial input to CLEIT (Corporate Legal Entity Integration Team).

• Assist the Assistant Company Secretary, Special Operations

WHAT WILL YOUR KEY RESPONSIBILITIES BE?
• Assist the Assistant Company Secretary with Treasury projects:  the annual update and issuances under the EMTN (Euro Medium Term Note Programme) and the annual maintenance and issuances under the F-3 registration statement.

• Assist with the review of detailed CLEIT proposals to ensure that the key data in the proposal is accurate so far as Secretariat function can verify and that aspects affecting Secretariat matters are raised and actioned.  Work with the Assistant Company Secretary to execute CLEIT re-organisations involving Corporate Secretariat. 

• Assist the Assistant Company Secretary in executing the Secretariat aspects of special projects e.g. Group reorganisations and collaborative projects initiated by Global Tax, Corporate Treasury, Corporate Development, Corporate Finance or other corporate function.

• Assist the Assistant Company Secretary in maintaining the Company secretarial work (including the review and approval of statutory accounts) in respect of certain ‘specialist’ companies, including debt issuance companies, various IP holding companies and overseas companies which are tax resident in the UK.

• Provide support to the Board of various GSK and ViiV Healthcare IP companies including scheduling, arranging, attending and minuting meetings and ensuring appropriate governance of the companies.

• Assist with the compilation and filing of GSK’s Form 20-F and the due diligence required to obtain a letter 10b5 opinion from the Company’s US Legal advisers.

• Provide advice, guidance and coaching to Company Secretariat Assistants and any complementary workers joining the team. 

• Assist the Assistant Company Secretary with the provision of support to the Disclosure Committee including arranging meetings, circulating materials and maintain a log of decisions.

• Assist the Assistant Company Secretary with the maintenance of insider lists and business confidential lists.

• Document and maintain procedures for the various activities of the Special Operations team.

• Assist with the compilation and filing of GSK’s annual and semi-annual securities report in Japan.

• Support the Assistant Company Secretary with the provision of Board support to ViiV Healthcare Ltd and its subsidiaries.
