Purpose of the role

An exciting opportunity has arisen for an Assistant Secretary to join our small Group Secretariat team. You will assist the team in providing an efficient and effective company secretarial service across the Group including advice on best corporate governance practice. Your main responsibilities will include, but not limited to;
• Managing the statutory records and on-going routine company secretarial work for the Group.
• Providing advice and prepare all necessary documents to convene board and general meetings of the Group’s subsidiary companies, undertaking minutes where appropriate and assisting the
Group Finance function on their preparation of the Annual Accounts for such companies.
• Assisting with the maintenance of the Board Handbook, Board Committee Terms of Reference and preparation of papers for the Board Governance and Nominations Committee.
• Assisting with the provision of professional advice on corporate governance issues to ensure the legal, regulatory and best practice obligations of the Group are met.
• Assisting with the organisation of the Society’s AGM.
• To act as Secretary to the Yorkshire Building Society Charitable Foundation.
Skills, experience and qualifications required;
• ICSA qualifications preferred (but not essential).
• Previous experience in a company secretarial role.
• Demonstrable knowledge of corporate governance best practice.
• Experience in minute taking
• Highly organised and the ability to work on their own initiative.
• High level of accuracy and attention to detail with excellent communication skills
• Good IT skills and working knowledge of Microsoft applications and use of ICSA Blueprint software ideal but not essential.
